Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the websites, applications, APIs, and services operated by ChemeNova LLC, a New Jersey limited liability company ("ChemeNova," "we," "our," or "us"), including chemenova.com, the IntelliForm™ formulation platform, the ChemeNova AI Node, PrintChem™, OrbitChem™, and any related tools, APIs, or services we may offer from time to time (collectively, the "Services").

We may update these Terms at any time. We will provide notice of material changes as described in Section 16. Your continued use of the Services after any such update constitutes your acceptance of the revised Terms.

Definitions

• "Services" means all products, platforms, websites, APIs, and tools operated by ChemeNova LLC, including IntelliForm™, PrintChem™, OrbitChem™, and the ChemeNova AI Node
• "User" or "you" means any individual or entity accessing or using the Services
• "Account" means a registered user account granting access to authenticated features of IntelliForm or other Services
• "Formulation Data" means any chemical formulation briefs, ingredient selections, performance parameters, or outputs generated through IntelliForm™
• "Output" means any formulation recommendation, certification pre-screening result, carbon passport, QSAR prediction, or other result produced by the IntelliForm AI council
• "Enterprise Customer" means a user or organization that has executed a separate Enterprise Services Agreement with ChemeNova LLC
• "Manufacturing Services" means pilot batch manufacturing services provided by ChemRich Global (a division of Snow White Products, Inc.) as a manufacturing partner of ChemeNova
• "Open Source Components" means code released under the MIT License at github.com/Cheme-Nova/IntelliForm
• "Proprietary Components" means Enterprise API, the AI council model weights, EcoMetrics engine, Molecular Memory Network, and any non-MIT-licensed portions of the platform

Description of Services

ChemeNova provides AI-driven specialty chemical formulation intelligence software. Our core Service, IntelliForm™, enables users to:

• Submit natural-language or structured formulation briefs describing desired chemical blend performance, industry vertical, and certification requirements
• Receive AI-generated formulation recommendations from a 5-model AI council using Bayesian Gaussian Process optimization, NSGA-III multi-objective optimization, and QSAR molecular modeling
• Access carbon footprint assessments (ISO 14067), ecotoxicity pre-screening (ChemBERTa), and regulatory compliance pre-screening for up to 8 certification standards including COSMOS, NATRUE, ECOCERT, and ICH Q8
• Request pilot batch manufacturing through our ChemRich Global manufacturing partnership
• Access research publications, open-source code, and technical documentation

We reserve the right to modify, suspend, or discontinue any portion of the Services at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of the Services.

Accounts & Access

Account Registration

Certain features of IntelliForm require creating an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your account credentials.

• You may not share your account credentials with others or allow others to access the Services through your account
• You are responsible for all activity that occurs under your account, whether or not authorized by you
• You must notify us immediately at shehan@chemenova.com upon becoming aware of any unauthorized use of your account
• Accounts must be associated with a valid email address you control

Access Tiers

• Free Access: Limited IntelliForm sessions per month, accessible without registration, subject to rate limits
• Registered Access: Extended session limits and formulation history features, requiring account creation
• Enterprise API Access: Requires a separate Enterprise Services Agreement, including custom rate limits, SLA, dedicated infrastructure, and additional data protections

Age Requirement

You must be at least 18 years of age to create an account or use the Services. By registering, you represent and warrant that you are 18 or older.

Acceptable Use

You agree to use the Services only for lawful purposes and in a manner consistent with these Terms and all applicable laws and regulations. The following uses are expressly prohibited:

• Using IntelliForm to formulate, develop, or assist in the development of chemical weapons, biological weapons, controlled substances for illicit distribution, or any material intended to cause harm to persons or the environment
• Attempting to circumvent, disable, or interfere with security features, rate limits, or access controls of the Services
• Scraping, crawling, data-mining, or harvesting the Services or any content therein without our prior written consent
• Reverse engineering, decompiling, or disassembling Proprietary Components of the platform, except to the extent permitted by Open Source license terms
• Impersonating ChemeNova, any ChemeNova employee, or any other person or entity
• Submitting false, misleading, or fraudulent information in formulation briefs or account registration
• Using the Services in any way that could damage, overburden, or impair the platform or interfere with other users' use
• Attempting to access systems, data, or accounts not intended for your authorized use
• Uploading or transmitting malicious code, viruses, or other harmful software
• Violating any applicable export control laws, including U.S. Export Administration Regulations (EAR) or ITAR, in connection with your use of the Services

ChemeNova reserves the right to investigate any suspected violation and to suspend or terminate your access without notice if we determine a violation has occurred.

IntelliForm™ Specific Terms

Nature of Outputs

IntelliForm Outputs are AI-generated formulation recommendations based on computational modeling, published chemical databases (PubChem, ChEMBL, ECOTOX), and our proprietary QSAR and optimization models. Outputs are provided for professional informational and research purposes only and do not constitute:

• Final certified product specifications, regulatory submissions, or safety certifications
• Legal, regulatory, or compliance advice for any specific jurisdiction
• Medical, pharmaceutical, food safety, or toxicological opinions
• Guarantees of commercial performance, stability, or efficacy of any formulated product

Your Formulation Data

• You retain ownership of formulation briefs and inputs you submit to IntelliForm
• By submitting inputs, you grant ChemeNova a limited, non-exclusive, royalty-free license to process your inputs for the sole purpose of generating Outputs for you
• You represent and warrant that your formulation inputs do not infringe any third-party intellectual property rights
• You are responsible for ensuring that your use of IntelliForm Outputs complies with applicable laws, including chemical regulations in your jurisdiction

Pilot Batch Requests

• Submitting a pilot batch manufacturing request through IntelliForm routes your request to ChemRich Global for commercial fulfillment
• Pilot batch manufacturing is governed by a separate agreement between you and ChemRich Global / Snow White Products, Inc.
• ChemeNova's no-cost reformulation guarantee applies to reformulation of the IntelliForm-generated blend for the same performance targets — it does not cover raw material costs, lab fees charged by ChemRich, or regulatory submission costs

Rate Limits & Fair Use

• Free access is subject to session limits, which may be updated at our discretion with notice
• Automated access, API polling, or scripted batch use of the free interface without an Enterprise Agreement is prohibited

Intellectual Property

ChemeNova's IP

The Services — including all software, AI model weights, training data, user interfaces, visual design, branding, trademarks, Formulation Outputs, EcoMetrics methodology, Molecular Memory Network architecture, and all other content we create — are owned by ChemeNova LLC and are protected by copyright, patent (USPTO Provisional Patent pending), trade secret, and other intellectual property laws.

The trademarks IntelliForm™, PrintChem™, OrbitChem™, EcoMetrics™, and the ChemeNova name and logo are proprietary marks of ChemeNova LLC. You may not use these marks without our prior written consent.

What You May Do

• Use IntelliForm Outputs you generate for your own internal research, product development, and commercial formulation purposes
• Reference and cite our published research (ChemRxiv, SSRN, NJIT publications) under standard academic citation norms
• Use, modify, and distribute Open Source Components under the MIT License (see Section 08)
• Share screenshots or brief descriptions of the platform for non-commercial educational, journalistic, or research purposes, with attribution to ChemeNova LLC

What You May Not Do

• Reproduce, distribute, or publicly display Proprietary Components of the platform without written authorization
• Use our trademarks in a manner that implies endorsement or affiliation without our consent
• Build competing commercial products that substantially replicate IntelliForm's core methodology using Outputs derived from the platform

Open Source License

Certain components of IntelliForm are released under the MIT License and are available at github.com/Cheme-Nova/IntelliForm. The MIT License grants you broad rights to use, copy, modify, merge, publish, distribute, sublicense, and sell copies of the covered software, subject to the license terms.

We welcome contributions to the open-source codebase. By submitting a pull request or contribution to the repository, you agree that your contribution will be licensed under the same MIT License as the existing code, and you represent that you have the right to make such a contribution.

Manufacturing Services

ChemeNova operates as a technology and formulation intelligence company. Pilot batch manufacturing services (50–200 kg batches, NJ/NY/PA) are provided by ChemRich Global, a division of Snow White Products, Inc., as an independent manufacturing partner.

• ChemeNova's role in manufacturing is limited to formulation intelligence generation and referral of your request to ChemRich Global
• ChemRich Global's manufacturing, pricing, quality, delivery, and warranty terms are governed by a separate agreement between you and ChemRich Global
• ChemeNova makes no warranties regarding the manufacturing services performed by ChemRich Global
• The no-cost reformulation guarantee offered through ChemeNova applies to generating a revised IntelliForm formulation if a ChemRich pilot batch fails to meet the agreed certification criteria — it does not alter the manufacturing contract between you and ChemRich Global
• You are responsible for obtaining all necessary regulatory approvals, safety data sheets, and compliance documentation for any manufactured products in your jurisdiction

Payment & Subscriptions

Free access to IntelliForm is provided at no charge, subject to session limits. Enterprise API access and other paid features, if offered, are subject to the following terms:

• Paid subscriptions and Enterprise Agreements are governed by the pricing and payment terms specified in your Order Form or Enterprise Services Agreement
• Unless otherwise specified in a separate agreement, fees are non-refundable
• Enterprise Customers who wish to terminate paid subscriptions must provide written notice per their Enterprise Services Agreement
• We reserve the right to change pricing for future subscription periods with 30 days' prior written notice
• Failure to pay amounts owed may result in suspension or termination of access

Manufacturing pilot batch payments are made directly to ChemRich Global and are not ChemeNova transactions. ChemeNova does not collect or process payments for manufacturing services.

Disclaimers

Without limiting the foregoing, ChemeNova does not warrant that:

• IntelliForm Outputs will meet your specific formulation requirements or result in commercially viable products
• Outputs will satisfy any specific regulatory certification requirements in any jurisdiction without further professional validation
• The Services will be error-free, uninterrupted, or available at all times
• Any QSAR predictions, biodegradability scores, carbon footprint estimates, or ecotoxicity assessments are fully accurate or suitable for regulatory submission
• Pilot batch manufacturing referred through ChemRich Global will produce products meeting any specific quality standard

All formulation Outputs must be reviewed, tested, and validated by qualified chemists, regulatory affairs professionals, and safety experts before commercial use. ChemeNova is not a licensed professional engineering, chemistry, pharmaceutical, or regulatory consulting firm.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHEMENOVA LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, business, or goodwill arising from your use of the Services
• Costs of procuring substitute goods or services
• Personal injury, property damage, or regulatory penalties arising from reliance on IntelliForm Outputs
• Any damages arising from unauthorized access to or alteration of your data or formulation inputs
• Product liability claims arising from manufactured products incorporating IntelliForm Outputs

IN NO EVENT SHALL CHEMENOVA'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO CHEMENOVA IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations apply only to the maximum extent permitted by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless ChemeNova LLC, its members, managers, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your use of or access to the Services
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Your violation of any applicable laws or regulations in connection with your use of the Services or Outputs
• Any products you manufacture or commercialize using IntelliForm Outputs
• Any formulation inputs you submit to the Services that infringe third-party intellectual property

Termination

Termination by You

You may stop using the Services at any time. To delete your registered account, email shehan@chemenova.com with the subject "Account Deletion Request." We will process your request within 30 days.

Termination by ChemeNova

We reserve the right to suspend or terminate your access to the Services, with or without notice, for:

• Violation of these Terms or our Acceptable Use Policy
• Conduct that poses a risk to ChemeNova, other users, or third parties
• Fraudulent, abusive, or illegal activity
• Non-payment of applicable fees
• Inactivity of registered accounts for more than 24 consecutive months

Effect of Termination

• Upon termination, your right to access the Services ceases immediately
• Sections on Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Disputes, and General Provisions survive termination
• We will handle your data post-termination in accordance with our Privacy Policy

Disputes & Governing Law

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions. Any claims under these Terms are subject to the exclusive jurisdiction of the federal and state courts located in Essex County, New Jersey.

Dispute Resolution

Before initiating formal proceedings, we encourage you to contact us at shehan@chemenova.com to attempt to resolve any dispute informally. We will make good-faith efforts to resolve disputes within 30 days of receiving written notice.

If informal resolution fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with arbitration conducted in Newark, New Jersey. You waive any right to participate in a class action lawsuit or class-wide arbitration. This arbitration provision does not apply to disputes involving ChemeNova's intellectual property rights, which may be pursued in court.

If you are a consumer in the European Union or United Kingdom, you may have the right to use EU online dispute resolution mechanisms or refer complaints to your local consumer authority. These Terms do not limit rights you have under mandatory consumer protection laws of your jurisdiction.

General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and any Enterprise Services Agreement, constitute the entire agreement between you and ChemeNova regarding the Services
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect
• No Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction
• Notices: Legal notices to ChemeNova must be sent to shehan@chemenova.com with a copy to 120 E Central Ave, Newark, NJ 07103. We may send notices to you via email or through the Services
• Changes to Terms: We may update these Terms at any time. For material changes, we will provide at least 14 days' notice via email (for registered users) and website notice. Continued use after the effective date of revised Terms constitutes acceptance
• Export Compliance: You agree to comply with all applicable U.S. export control laws and regulations, including EAR and ITAR, in connection with your use of the Services
• Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control
